1. PURPOSE AND ACCEPTANCE
1.1 Purpose
This Family / Client Service Agreement (“Agreement”) governs your access to and use of the CareHarbor360 platform when seeking, engaging, or managing caregiving services.
By creating a client account, requesting caregiving services, or electronically accepting this Agreement, you agree to be bound by this Agreement, the CareHarbor360 Terms of Service, Privacy Policy, Cookie Policy, Trust & Safety Policy, Community Standards, Acceptable Use Policy, AI Transparency Policy, Identity Verification Policy, and any other policies incorporated by reference.
1.2 Nature of the Platform
CareHarbor360 is a technology platform that helps families, caregivers, agencies, and organizations connect and communicate.
Unless expressly stated otherwise, CareHarbor360 is not a party to caregiving arrangements entered into directly between clients and caregivers.
CareHarbor360 provides technology tools to facilitate connections but does not guarantee the suitability, availability, or performance of any individual caregiver.
1.3 Updates to this Agreement
CareHarbor360 may revise this Agreement from time to time to reflect changes in law, business operations, or platform functionality.
Where required by applicable law, notice of material changes will be provided before they become effective.
Continued use of the Services after the effective date constitutes acceptance of the revised Agreement.
2. DEFINITIONS
For purposes of this Agreement:
Account means your registered CareHarbor360 account.
Care Recipient means the individual receiving caregiving services.
Caregiver means an individual or organization offering caregiving services through the platform.
Client means the individual, family member, guardian, employer, organization, or other person requesting or arranging caregiving services.
Platform means the CareHarbor360 website, mobile applications, software, APIs, AI-powered features, and related services.
Services means the technology services provided by CareHarbor360 and, where the context requires, the caregiving services arranged between users.
3. ELIGIBILITY
To use the platform as a Client, you represent and warrant that:
- you have the legal capacity to enter into this Agreement;
- the information you provide is accurate and current;
- you are authorized to request care for the care recipient;
- you will comply with applicable laws;
- you will promptly update material changes to your account information.
Where you are arranging services on behalf of another person, you represent that you have the legal authority to do so.
4. REGISTRATION AND ACCOUNT REQUIREMENTS
4.1 Accurate Registration
You agree to provide truthful, complete, and current registration information.
You must not create accounts using false identities or another person’s identity without lawful authority.
4.2 Account Security
You are responsible for maintaining the confidentiality of your login credentials.
You agree to notify CareHarbor360 promptly if you become aware of:
- unauthorized access;
- suspected account compromise;
- identity theft;
- misuse of your account.
4.3 Profile Accuracy
Information contained in your profile should accurately reflect:
- your identity;
- contact information;
- caregiving needs;
- household information relevant to the requested services;
- emergency contact details;
- other material information necessary for caregivers to make informed decisions.
5. IDENTITY VERIFICATION
5.1 Verification
CareHarbor360 may request identity verification before allowing access to certain features or services.
Verification may include government-issued identification, selfie or liveness verification, Aadhaar-based verification where legally permissible, or other lawful methods.
5.2 Purpose
Identity verification is intended to help promote trust, reduce fraud, and improve platform security.
Verification does not guarantee the honesty, conduct, or suitability of any user.
5.3 Cooperation
Clients agree to cooperate with reasonable verification requests.
Failure to complete required verification may result in limited access to certain platform features.
6. CLIENT REPRESENTATIONS AND CERTIFICATIONS
By accepting this Agreement, you represent and certify that:

☐ You are authorized to request caregiving services.
☐ You will update information that becomes inaccurate.
☐ You understand caregivers rely upon the accuracy of your information.
☐ You will communicate honestly throughout the caregiving relationship.
☐ You will comply with applicable laws.
☐ You understand that fraudulent information may result in suspension or termination of your account.
These certifications remain continuing obligations while using the platform.
7. CARE REQUEST INFORMATION
7.1 Accurate Care Requests
Clients agree to provide information that is materially accurate regarding:
- the type of care requested;
- expected duties;
- work schedule;
- work location;
- required qualifications;
- language preferences;
- mobility requirements;
- special skills requested;
- compensation, where applicable.
7.2 Material Changes
Clients agree to promptly update caregivers regarding material changes affecting the caregiving engagement, including:
- changes in schedules;
- changes in responsibilities;
- changes in care recipient needs;
- changes in household safety conditions;
- changes in contact information.
7.3 Misrepresentation
Clients shall not intentionally misrepresent:
- job duties;
- hours of work;
- compensation;
- number of care recipients;
- household conditions;
- significant safety concerns;
- other information that could reasonably influence a caregiver’s decision to accept an engagement.
8. SAFE ENVIRONMENT RESPONSIBILITIES
Clients agree to make reasonable efforts to provide a safe environment for caregivers and care recipients.
Where relevant to the caregiving engagement, clients should disclose known hazards that may reasonably affect health or safety.
Examples include:
- aggressive animals;
- significant mobility hazards;
- known environmental hazards;
- security concerns;
- other conditions requiring reasonable precautions.
Clients also agree to:
- provide caregivers with information reasonably necessary to perform agreed services safely;
- communicate emergency procedures where appropriate;
- maintain respectful working conditions;
- refrain from requiring caregivers to perform unlawful, dangerous, or materially different duties without mutual agreement.
CareHarbor360 encourages open communication between clients and caregivers to help establish clear expectations and promote a safe, respectful caregiving environment. # CAREHARBOR360 FAMILY / CLIENT SERVICE AGREEMENT
PART 2
Sections 9–16
9. CHILD CARE RESPONSIBILITIES
9.1 Commitment to Child Safety
When requesting childcare services through CareHarbor360, Clients acknowledge that the safety, health, dignity, and well-being of every child are paramount.
Clients agree to work collaboratively with caregivers to create a safe, respectful, and supportive environment.
9.2 Information Provided to Caregivers
Clients agree to provide caregivers with information reasonably necessary to safely care for a child, including where applicable:
- allergies;
- medications;
- dietary restrictions;
- emergency contacts;
- authorized persons permitted to collect the child;
- medical conditions relevant to the caregiving engagement;
- behavioral considerations;
- safety procedures.
Information should be kept current throughout the engagement.
9.3 Emergency Authorization
Clients are responsible for providing current emergency contact information.
Where applicable, Clients should communicate their preferences regarding emergency medical treatment if they cannot be reached promptly.
Nothing in this Agreement prevents a caregiver from contacting emergency services when immediate action appears reasonably necessary to protect life or health.
9.4 Safe Instructions
Clients agree not to request caregivers to perform unlawful acts or engage in conduct that would reasonably endanger a child.
10. SENIOR AND VULNERABLE ADULT CARE RESPONSIBILITIES
10.1 Care Information
Where services involve seniors or vulnerable adults, Clients agree to provide information reasonably necessary for safe caregiving, including where applicable:
- mobility needs;
- communication preferences;
- cognitive impairments relevant to the engagement;
- dietary needs;
- medication schedules that the caregiver has agreed to assist with;
- emergency contacts;
- physician or medical provider contact information where appropriate.
10.2 Respect for Care Recipients
Clients agree to promote the dignity, independence, and autonomy of care recipients whenever reasonably appropriate.
10.3 Changes in Care Needs
Clients should promptly notify caregivers of significant changes that may affect the caregiving engagement, including changes in health status, mobility, supervision needs, or safety considerations.
11. EMERGENCY INFORMATION
11.1 Emergency Contacts
Clients agree to maintain accurate emergency contact information throughout the caregiving engagement.
11.2 Medical Emergencies
CareHarbor360 is not an emergency response service.
Clients acknowledge that caregivers may contact local emergency services when they reasonably believe immediate medical attention is required.
11.3 Emergency Planning
Where appropriate, Clients are encouraged to provide caregivers with information regarding:
- emergency exits;
- emergency telephone numbers;
- household emergency procedures;
- relevant medical information;
- preferred hospitals or healthcare providers.
12. CONFIDENTIALITY
12.1 Respect for Caregiver Privacy
Clients acknowledge that caregivers also have privacy rights.
Clients agree not to disclose a caregiver’s personal information except where:
- authorized by the caregiver;
- required by law;
- reasonably necessary to resolve disputes relating to the caregiving engagement.
12.2 Confidential Information
Clients may receive confidential information regarding caregivers, including:
- personal contact information;
- qualifications;
- schedules;
- references;
- verification status;
- other non-public information.
Such information should only be used for legitimate caregiving purposes.
12.3 Photography and Recording
Clients should inform caregivers if security cameras or monitoring devices are present in areas where caregiving services will be performed.
Clients should not secretly record caregivers in locations where they have a reasonable expectation of privacy or otherwise in violation of applicable law.
12.4 Social Media
Clients agree not to publish identifiable information regarding caregivers without appropriate authorization or other lawful basis.
13. PRIVACY AND DATA PROTECTION
Clients agree to use personal information obtained through CareHarbor360 only for legitimate caregiving purposes.
Clients must not:
- sell caregiver information;
- harvest personal information;
- copy platform databases;
- scrape platform content;
- create unauthorized mailing lists;
- disclose personal information without authorization or another lawful basis.
Where Clients download or retain caregiver information, they agree to take reasonable steps to protect that information from unauthorized access or disclosure.
14. RESPECTFUL TREATMENT OF CAREGIVERS
14.1 Professional Environment
Clients agree to treat caregivers with professionalism, courtesy, dignity, and respect.
14.2 Prohibited Conduct
Clients shall not engage in:
- harassment;
- bullying;
- threats;
- intimidation;
- unlawful discrimination;
- retaliation;
- abusive language;
- physical violence;
- sexual harassment;
- coercion.
14.3 Working Conditions
Clients agree to provide working conditions that are reasonably consistent with the caregiving services requested.
Clients shall not intentionally require caregivers to perform materially different duties without discussion and mutual agreement.
14.4 Financial Integrity
Clients agree to:
- pay agreed compensation in accordance with applicable agreements;
- avoid deceptive payment practices;
- communicate promptly regarding payment concerns;
- not pressure caregivers into accepting reduced compensation after services have been provided without mutual agreement or lawful basis.
14.5 Professional Boundaries
Clients should respect appropriate professional boundaries and avoid conduct that could reasonably interfere with a safe and professional caregiving relationship.
15. PLATFORM RULES
Clients agree not to:
- create fraudulent accounts;
- impersonate another person;
- submit false identity documents;
- manipulate ratings;
- purchase reviews;
- harass caregivers;
- threaten caregivers;
- discriminate unlawfully;
- upload malware;
- interfere with platform security;
- attempt unauthorized access;
- misuse AI features;
- engage in fraud;
- violate applicable law while using the platform.
15.1 Circumvention
Where permitted by applicable law and the Terms of Service, Clients agree not to intentionally use the platform solely to avoid applicable platform policies or contractual obligations.
Nothing in this section restricts rights that cannot lawfully be waived or limited.
16. AI-ASSISTED FEATURES
CareHarbor360 may provide AI-powered tools to assist Clients with:
- creating job descriptions;
- scheduling;
- caregiver recommendations;
- message drafting;
- translations;
- summaries;
- customer support;
- other productivity features.
16.1 AI Limitations
Clients acknowledge that AI-generated content:
- may contain inaccuracies;
- may be incomplete;
- may not reflect all relevant circumstances;
- should be independently reviewed before relying upon it.
AI is intended to assist—not replace—human judgment.
16.2 Responsible AI Use
Clients shall not use AI features to:
- create misleading job postings;
- impersonate another person;
- generate fraudulent communications;
- facilitate unlawful conduct;
- harass other users;
- violate CareHarbor360 policies.
16.3 Continuous Improvement
CareHarbor360 may modify, improve, suspend, or discontinue AI-powered features as technology evolves or legal and operational requirements change.
Clients acknowledge that AI functionality may change over time without affecting the remainder of this Agreement. # CAREHARBOR360 FAMILY / CLIENT SERVICE AGREEMENT
PART 3
Sections 17–24
17. SCHEDULING, CANCELLATIONS, AND COMMUNICATIONS
17.1 Scheduling
Clients are responsible for providing accurate scheduling information when requesting caregiving services.
Clients should promptly notify caregivers of any changes to scheduled appointments.
17.2 Cancellations
If a Client must cancel a scheduled caregiving engagement, reasonable notice should be provided whenever practicable.
Cancellation fees, if any, shall be governed by the applicable booking terms presented at the time of booking.
17.3 Late Arrivals
If a Client anticipates being late or unavailable at the agreed start time, the Client should promptly notify the caregiver.
Repeated scheduling issues may affect continued use of the platform.
17.4 Communications
Communications through CareHarbor360 should remain:
- respectful;
- professional;
- truthful;
- free from harassment;
- free from threats;
- free from unlawful discrimination.
17.5 Platform Messaging
CareHarbor360 may retain communications conducted through platform messaging systems for purposes including:
- customer support;
- fraud prevention;
- dispute resolution;
- Trust & Safety investigations;
- legal compliance.
Such records will be handled in accordance with the Privacy Policy and applicable law.
18. PAYMENTS AND FEES
18.1 Platform Fees
Certain platform features may require payment of subscription fees, booking fees, service fees, or other charges.
Applicable fees will be disclosed before they are incurred.
18.2 Payment Responsibilities
Clients agree to:
- provide accurate payment information;
- maintain valid payment methods where required;
- pay agreed charges in accordance with applicable booking terms;
- promptly address payment issues.
18.3 Third-Party Payment Processors
Payments may be processed through authorized third-party payment providers.
CareHarbor360 is not responsible for payment delays caused by banks, payment processors, or events beyond its reasonable control.
18.4 Taxes
Clients remain responsible for taxes applicable to their transactions unless otherwise required by law.
18.5 Refunds
Refund eligibility shall be determined in accordance with CareHarbor360’s Refund Policy and the applicable booking terms.
Nothing in this Agreement guarantees a refund.
19. RATINGS AND REVIEWS
19.1 Purpose
Ratings and reviews help promote transparency, accountability, and informed decision-making within the CareHarbor360 community.
19.2 Honest Reviews
Clients agree that reviews should be:
- truthful;
- respectful;
- based upon actual experiences;
- relevant to the caregiving engagement.
19.3 Prohibited Conduct
Clients shall not:
- purchase reviews;
- submit fraudulent reviews;
- retaliate against caregivers through false reviews;
- threaten caregivers regarding reviews;
- offer compensation in exchange for favorable reviews without disclosure;
- manipulate platform ratings.
19.4 Review Moderation
CareHarbor360 may remove reviews that violate platform policies, including reviews containing:
- confidential information;
- unlawful content;
- threats;
- hate speech;
- spam;
- fraudulent statements;
- unrelated commentary.
Removal of a review does not necessarily indicate that the underlying events did or did not occur.
20. TRUST AND SAFETY
20.1 Compliance
Clients agree to comply with all CareHarbor360 Trust & Safety requirements.
20.2 Reporting Safety Concerns
Clients should promptly report:
- abuse;
- neglect;
- exploitation;
- harassment;
- fraud;
- identity theft;
- serious misconduct;
- other significant safety concerns.
20.3 Cooperation
Clients agree to cooperate reasonably with Trust & Safety investigations.
20.4 Protective Measures
Where reasonably necessary to protect users or comply with applicable law, CareHarbor360 may implement temporary safety measures, including account restrictions, additional verification, or suspension of certain platform features while matters are reviewed.
21. INVESTIGATIONS
21.1 Authority to Investigate
CareHarbor360 may investigate suspected violations of this Agreement or other platform policies.
Investigations may include review of:
- user accounts;
- communications conducted through the platform where permitted;
- booking information;
- uploaded documentation;
- payment history;
- user reports;
- other information lawfully available.
21.2 Requests for Information
Clients agree to respond truthfully to reasonable requests for information relating to investigations.
Failure to cooperate may affect continued access to the platform where appropriate.
21.3 Fair Process
CareHarbor360 seeks to conduct investigations fairly, consistently, and proportionately.
Not every report will result in enforcement action, and decisions may be based on the available evidence, seriousness of the reported conduct, recurrence of violations, and applicable legal requirements.
22. SUSPENSION AND TERMINATION
22.1 Suspension
CareHarbor360 may temporarily suspend or restrict access to the platform where reasonably necessary to:
- protect users;
- investigate suspected misconduct;
- respond to security incidents;
- comply with applicable law;
- preserve platform integrity.
22.2 Termination
Accounts may be terminated for reasons including:
- repeated policy violations;
- fraud;
- identity misrepresentation;
- abuse of caregivers;
- abuse of care recipients;
- unlawful conduct;
- submission of fraudulent documentation;
- serious breaches of this Agreement.
22.3 Effect of Termination
Upon termination:
- platform access may cease;
- future registration may be restricted;
- information may be retained as permitted or required by applicable law and the Privacy Policy;
- provisions intended to survive termination shall remain effective.
23. PLATFORM RELATIONSHIP
23.1 Marketplace Role
CareHarbor360 operates a technology platform that facilitates introductions, communication, scheduling, and related services between Clients and Caregivers.
23.2 Independent Decisions
Clients remain solely responsible for:
- selecting caregivers;
- evaluating caregiver qualifications;
- determining whether a caregiver is appropriate for a particular engagement;
- supervising caregiving arrangements where appropriate.
23.3 No Guarantee
CareHarbor360 does not guarantee:
- successful caregiver matches;
- caregiver availability;
- caregiver suitability for every circumstance;
- uninterrupted platform availability;
- successful outcomes from caregiving engagements.
23.4 Client Responsibilities
Clients remain responsible for:
- complying with applicable laws;
- providing accurate information;
- maintaining respectful working conditions;
- fulfilling agreed payment obligations;
- communicating material changes affecting caregiving engagements.
24. DISCLAIMERS
24.1 Technology Platform
CareHarbor360 provides technology services intended to facilitate connections between users.
Except where required by applicable law, CareHarbor360 does not supervise or control the day-to-day provision of caregiving services performed by independent caregivers.
24.2 User Decisions
Clients remain responsible for decisions regarding:
- caregiver selection;
- caregiving instructions;
- supervision of care recipients where appropriate;
- emergency decision-making;
- reliance upon information obtained through the platform.
24.3 Third-Party Services
CareHarbor360 is not responsible for the availability, accuracy, or performance of third-party products or services integrated with or linked from the platform, except to the extent required by applicable law.
24.4 AI-Assisted Features
AI-generated recommendations, summaries, messages, or other content are provided for informational and productivity purposes.
Clients should independently review AI-generated content before relying upon it.
24.5 No Guarantee of Safety
While CareHarbor360 implements identity verification, Trust & Safety policies, reporting systems, and other measures intended to promote a safer marketplace, no online platform can eliminate all risks associated with interactions between users.
Clients should exercise reasonable care, independent judgment, and appropriate precautions when engaging caregivers through the platform. # CAREHARBOR360 FAMILY / CLIENT SERVICE AGREEMENT
PART 4 (FINAL)
Sections 25–30 and Schedules A–G
25. LIMITATION OF LIABILITY
25.1 Scope
Nothing in this Agreement excludes or limits liability where such exclusion or limitation is prohibited by applicable law.
Subject to applicable law, CareHarbor360’s liability is limited to the maximum extent permitted by law.
25.2 Platform Role
CareHarbor360 provides technology services that facilitate introductions, communications, scheduling, payments (where applicable), and related marketplace functions.
Except as required by applicable law, CareHarbor360 is not responsible for the independent acts, omissions, decisions, or conduct of Clients or Caregivers.
25.3 Indirect Damages
To the fullest extent permitted by applicable law, CareHarbor360 shall not be liable for indirect, incidental, consequential, special, exemplary, or punitive damages, including but not limited to:
- loss of income;
- loss of profits;
- business interruption;
- reputational harm;
- emotional distress;
- loss of goodwill;
- loss of opportunity; or
- loss of data,
except where such limitations are prohibited by law.
25.4 Maximum Liability
To the extent permitted by applicable law, CareHarbor360’s total aggregate liability arising out of or relating to this Agreement shall not exceed the greater of:
- the total platform fees paid by the Client to CareHarbor360 during the twelve (12) months immediately preceding the event giving rise to the claim; or
- the minimum amount required by applicable law, if greater.
This limitation does not apply where applicable law prohibits such limitations.
26. INDEMNIFICATION
To the fullest extent permitted by applicable law, Clients agree to indemnify, defend, and hold harmless CareHarbor360, its affiliates, officers, directors, employees, contractors, licensors, and agents from and against claims, liabilities, damages, losses, penalties, costs, and reasonable legal expenses arising from or relating to:
- breach of this Agreement;
- violation of applicable law;
- negligent, reckless, or intentional misconduct;
- infringement of another person’s intellectual property rights through content submitted by the Client;
- bodily injury, property damage, or other harm caused by the Client’s acts or omissions, except to the extent caused by CareHarbor360’s own negligence or willful misconduct.
CareHarbor360 will provide reasonable notice of any claim for which indemnification is sought and may participate in the defense of such claim.
27. GOVERNING LAW
27.1 Applicable Law
This Agreement shall be governed by and interpreted in accordance with the laws of the Republic of India, without regard to conflict of law principles, except where mandatory consumer protection or other laws provide otherwise.
27.2 Jurisdiction
Subject to the dispute resolution provisions below, disputes shall be brought before courts of competent jurisdiction identified in the CareHarbor360 Terms of Service unless otherwise required by applicable law.
27.3 Compliance with Law
Clients remain responsible for complying with all laws applicable to their caregiving arrangements, employment obligations (where applicable), taxation, consumer protection requirements, and other legal responsibilities.
28. DISPUTE RESOLUTION
28.1 Good Faith Discussions
Before commencing formal legal proceedings, the parties are encouraged to attempt to resolve disputes through good-faith discussions.
28.2 Informal Assistance
CareHarbor360 may, but is not obligated to, provide communication tools or facilitate informal discussions intended to help users resolve disputes.
Participation in any informal process does not waive legal rights unless expressly agreed.
28.3 Mediation
Where mutually agreed, disputes may be referred to mediation before litigation or arbitration.
28.4 Arbitration
If the CareHarbor360 Terms of Service contain a valid arbitration provision, that provision shall apply to disputes arising under this Agreement to the extent permitted by applicable law.
28.5 Emergency Relief
Nothing in this Agreement prevents a party from seeking temporary, equitable, or injunctive relief from a court where reasonably necessary to prevent imminent harm or preserve legal rights.
29. ELECTRONIC ACCEPTANCE
29.1 Electronic Signature
Clients agree that this Agreement may be accepted electronically.
Electronic acceptance shall have the same legal effect as a handwritten signature to the extent recognized under applicable law.
29.2 Acceptance Records
CareHarbor360 may maintain records including:
- Agreement version;
- date and time of acceptance;
- IP address;
- browser information;
- device information;
- user account identifier;
- consent confirmations; and
- other relevant audit information.
Such records may be used to demonstrate acceptance of this Agreement.
29.3 Continuing Acceptance
Continued use of the platform following notice of updates constitutes acceptance of revised versions of this Agreement where permitted by applicable law.
30. GENERAL PROVISIONS
30.1 Entire Agreement
This Agreement, together with all incorporated CareHarbor360 policies, constitutes the complete agreement between the parties regarding Client use of the platform.
30.2 Severability
If any provision of this Agreement is determined to be invalid or unenforceable, the remaining provisions shall continue in full force and effect to the extent permitted by law.
30.3 No Waiver
Failure by CareHarbor360 to enforce any provision of this Agreement shall not constitute a waiver of that provision or any other rights.
30.4 Assignment
Clients may not assign this Agreement without CareHarbor360’s prior written consent, except where assignment rights cannot lawfully be restricted.
CareHarbor360 may assign this Agreement in connection with a merger, acquisition, corporate restructuring, or sale of assets.
30.5 Survival
The following provisions survive termination where applicable:
- confidentiality;
- privacy obligations;
- intellectual property;
- indemnification;
- limitation of liability;
- dispute resolution;
- governing law;
- accrued payment obligations;

30.6 Force Majeure
Neither party shall be liable for delays or failures caused by events beyond its reasonable control, including natural disasters, war, terrorism, civil unrest, governmental actions, widespread internet failures, pandemics, labor disruptions, or other force majeure events, except where applicable law provides otherwise.
30.7 Language
This Agreement is drafted in English.
Where translations are provided for convenience, the English version shall govern to the extent permitted by applicable law.

IDENTITY CERTIFICATION

SAFE HOME ENVIRONMENT CERTIFICATION

☐ I will notify caregivers of significant changes affecting safety.
☐ I will provide emergency contact information.
☐ I will make reasonable efforts to maintain a safe environment.
☐ I understand that undisclosed hazards may place caregivers or care recipients at unnecessary risk.
SCHEDULE C
CHILD SAFETY ACKNOWLEDGEMENT
Where childcare services are requested:
☐ I have provided accurate information regarding the child’s care needs.
☐ I have identified emergency contacts.
☐ I will communicate allergies, medical conditions, medications, and other material safety information relevant to the caregiving engagement.

Where services involve seniors or vulnerable adults:
